These Terms of Service ("Terms") govern your access to and use of the Moveris Developer Portal, dashboard, application programming interfaces ("APIs"), software development kits ("SDKs"), documentation, and related services (collectively, the "Services") operated by Moveris, Inc., a Delaware corporation ("Moveris," "we," "our," or "us").
By creating a developer account, obtaining an API key, or using any of the Services, you ("Developer," "you," or "your") agree to be bound by these Terms.
Registration Requirements:
API Key Management:
You agree to use the Services in compliance with all applicable laws and regulations. You specifically agree not to:
Prohibited Activities:
Use the Services for any unlawful purposes or in violation of applicable laws, including but not limited to data protection, financial services, anti-money laundering, export control, and sanctions laws
Attempt to circumvent, disable, or interfere with security features, authentication mechanisms, rate limiting, or monitoring systems
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
Use the Services to transmit malware, viruses, or any other malicious code
Attempt to gain unauthorized access to our systems or other users' accounts
Data Processing Restrictions:
Process special category personal data under GDPR (including health, biometric, genetic, political, religious, or children's data) without express written authorization from Moveris
Submit data in violation of applicable privacy laws or without proper user consent
Use the Services to process data for purposes incompatible with identity verification and fraud prevention
Competitive Use:
Build, market, or operate directly competing identity verification, fraud detection, or biometric authentication services without prior written consent from Moveris
Use the Services to benchmark against competitive offerings without authorization
Security and Compliance: Moveris maintains security controls aligned with SOC 2 Type II standards. Any attempt to undermine system integrity, exceed rate limits, or engage in abusive behavior may result in immediate suspension or termination without notice.
Your Responsibilities:
You must provide all necessary privacy notices and obtain valid, lawful consent from end users whose data you submit to the Services
You are responsible for ensuring your use of the Services complies with applicable data protection laws, including GDPR, CCPA, PIPEDA, and other regional privacy regulations
You must implement appropriate technical and organizational measures to secure personal data before transmission to Moveris
Moveris as Data Processor:
For personal data submitted through the APIs, Moveris acts as a data processor and you act as the data controller
Upon request, Moveris will execute a Data Processing Agreement ("DPA") that includes Standard Contractual Clauses where required for international transfers
You may only instruct Moveris to process personal data in accordance with these Terms and applicable law
Security Measures: Moveris implements and maintains security controls consistent with SOC 2 Type II requirements, including:
Encryption of data in transit (TLS 1.3) and at rest (AES-256)
Multi-factor authentication and role-based access controls
Continuous security monitoring and vulnerability management
Regular security assessments and penetration testing
Incident response and business continuity procedures
Security Incident Response: In the event of a security incident that may affect your data, Moveris will notify you without undue delay and provide information necessary for you to fulfill any breach notification obligations under applicable law.
Service Availability:
Moveris provides the Services on an "as-is" and "as-available" basis
While we implement industry-standard availability controls, we do not guarantee uninterrupted service or any specific uptime percentage
Scheduled maintenance will be announced in advance when feasible
Service Modifications:
We reserve the right to modify, update, or discontinue any aspect of the Services at any time
Material changes affecting functionality will be communicated via the Developer Portal, email, or API announcements with reasonable advance notice
We will maintain backward compatibility for API versions for a minimum of 12 months after deprecation notice
Product and API Decommissioning: We are committed to providing stability and predictability in our products and services. In the event that we decide to discontinue or materially deprecate any product, feature, or API, we will provide at least twelve (12) months’ prior written notice before such decommissioning takes effect. During the notice period, the product or API will remain available in its current or substantially similar form, subject to the other terms of this Agreement, to allow customers sufficient time to transition. After the notice period expires, access to the discontinued product or API may be disabled and all related functionality may cease. Exceptions to this notice period may apply if decommissioning is required by law, regulation, security risk, or to prevent material harm to customers, third parties, or the integrity of our systems. In such cases, we will make reasonable efforts to provide as much advance notice as practicable.
Rate Limiting:
API usage is subject to rate limits as specified in your service plan or communicated via the Developer Portal
Exceeding rate limits may result in temporary throttling or service suspension
Commercial rate limit increases are available upon request and may require upgraded service plans
Fair Use: You agree to use the Services in a manner that does not unreasonably burden our infrastructure or interfere with other users' access.
Moveris IP:
Moveris retains all right, title, and interest in the Services, including all intellectual property rights
You receive a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely in accordance with these Terms
No rights are granted by implication, estoppel, or otherwise
Your Content:
You retain ownership of data you submit to the Services
You grant Moveris a limited license to process your data in aggregate solely to provide the Services
You represent that you have all necessary rights to submit data to the Services
Any feedback, suggestions, or recommendations you provide regarding the Services may be used by Moveris without restriction or obligation to compensate you.
Confidential Information: Any non-public technical, business, security, or operational information disclosed by Moveris is confidential and may not be disclosed without prior written consent. This obligation survives termination of these Terms.
Fees:
Certain Services may be subject to fees as specified in your service plan
Fees are non-refundable unless otherwise specified in writing
We reserve the right to modify pricing with 30 days' notice
Payment:
Payment terms will be specified in your service agreement or invoice
Overdue amounts may result in service suspension
You agree to indemnify, defend, and hold harmless Moveris, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
Your use or misuse of the Services
Your violation of these Terms or applicable law
Your violation of any third party's rights
Any data you submit to the Services
Disclaimers: THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. MOVERIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOVERIS' TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE FEES PAID BY YOU FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL MOVERIS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
Termination by Moveris: We may suspend or terminate your access immediately without notice if you:
Breach these Terms
Engage in fraudulent or abusive conduct
Fail to pay applicable fees
Pose a security risk to the Services or other users
Effect of Termination: Upon termination, your access rights cease immediately. Provisions regarding confidentiality, indemnification, disclaimers, and governing law survive termination.
Governing Law: These Terms are governed by the laws of the State of Texas without regard to conflict of law principles.
Jurisdiction: Any legal action must be brought in the federal or state courts located in Texas. You consent to the personal jurisdiction of such courts.
Informal Resolution: Before initiating formal proceedings, parties agree to attempt good faith resolution through direct negotiation for at least 30 days.
Arbitration: Any controversy or claim arising out of or relating to this Agreement, or the interpretation or breach thereof, shall be determined by final and binding arbitration administered by the American Arbitration Association (the “AAA”) under its Commercial Arbitration Rules and Mediation Procedures (the “Commercial Rules”) and pursuant to the AAA's Expedited Procedures. The seat of the arbitration shall be Delaware. Each party shall bear its own costs and expenses and an equal share of the arbitrators' and administrative fees of arbitration. The award rendered by the arbitrator shall be final and binding on the parties and may be entered and enforced in any court having jurisdiction. Except as may be required by law, neither a party nor the arbitrator may disclose the existence, content or results of any arbitration without the prior written consent of both parties, unless to protect or pursue a legal right.
Entire Agreement: These Terms, together with the Privacy Policy and any executed service agreements, constitute the entire agreement between the parties.
Severability: If any provision is deemed unenforceable, the remaining provisions remain in full force and effect.
Assignment: You may not assign these Terms without our written consent. Moveris may assign these Terms in connection with a merger, acquisition, or sale of assets.
Amendments: We may modify these Terms at any time. Material changes will be communicated via email or the Developer Portal. Continued use after changes constitutes acceptance.
